Terms and Conditions for Surge (Human Capital Management Software)
Effective Date: 1 April 2025
These Terms and Conditions ("Terms") govern your access to and use of Surge, the human capital management software platform ("Service", "Software", "Platform") developed by PEOP and branded under SURGETALENTS HR CONSULTING PTE. LTD., a company incorporated in Singapore ("we", "us", "our").
By using Surge, you (“Client”, “User”) agree to be bound by these Terms. If you do not agree with these Terms, you must not access or use the Service.
1. Definitions
- User: Any person who accesses or uses Surge.
- Client: The entity or organization subscribing to or engaging with Surge’s services.
- Data: Any digital content, personal or business information, documentation, or materials submitted to or stored on the Platform by the Client or User.
2. Eligibility
To use Surge, you must:
- Be at least 18 years of age;
- Have the legal authority to enter into a binding agreement on behalf of the Client;
- Use the Service in compliance with all applicable laws and regulations, including those of Singapore.
3. Services
Surge is an all-in-one Human Capital Management (HCM) platform developed by PEOP and provided by SURGETALENTS HR CONSULTING PTE. LTD., offering the following features:
- Employee Record Management – Digital employee profiles including data, documents, and history.
- Employee Orientation – Structured onboarding tools for new hires.
- Probation Plans – Configurable tracking of employee probation periods.
- Career Development Plans – Roadmaps for personal growth, skills development, and career progression.
- Appraisals – Performance evaluation workflows and feedback tools.
- Performance Improvement Plans (PIP) – Actionable PIP processes with follow-ups.
- Conversation Logs – Confidential records of HR-related conversations.
- Recruitment – Integrated ATS for job postings, applicant tracking, and hiring processes.
- Payroll – Processing of salaries, statutory deductions, and pay-slip generation.
- Project Management – Task tracking, collaboration, and timeline monitoring.
- Libraries – Centralized repository of HR policies, templates, and documents.
- Learning Management System (LMS) – Course deployment, progress tracking, and reporting.
- Surveys – Tools for gathering employee feedback and engagement data.
SurgeTalents reserves the right to enhance, remove, or modify features periodically. Clients will be informed in advance of any major changes.
4. Account Registration and Access
- Clients must provide accurate, current, and complete information during registration.
- Users are responsible for maintaining the confidentiality of their login credentials.
- Clients must notify SurgeTalents immediately of any unauthorized use or security breach.
5. Fees and Payment
- Fees for the Service will be communicated in writing or via quotation/invoice.
- All fees are stated in Singapore Dollars (SGD) and exclude applicable GST.
- Payments can be made via manual bank transfer or other agreed methods.
- For manual transfers, no interest will be charged for late payments; however, continued non-payment may lead to service suspension after reasonable notice.
- For other payment methods (e.g., credit card, automated billing), late payments may incur interest at 1.5% per month, or the maximum rate allowed by law.
- Access may be suspended or terminated due to repeated or unresolved non-payment.
6. Data Protection and Privacy
SurgeTalents complies with the Personal Data Protection Act 2012 (PDPA) of Singapore.
Client data is processed solely for the purpose of delivering and improving the Service.

7. Confidentiality
Each party agrees to maintain the confidentiality of proprietary, technical, or business information disclosed during the course of using the Service. This includes information accessed during demos, trials, or evaluations (“Demo Access”).
Entities or individuals granted Demo Access agree not to disclose, reproduce, or distribute any part of the platform, system workflows, or business logic without written approval. This obligation continues beyond the end of the demo or trial, unless explicitly waived by SURGETALENTS HR CONSULTING PTE. LTD.
8. Intellectual Property
- All intellectual property rights in the Service, software, content, and related materials remain the property of SurgeTalents.
- Clients retain ownership of any data they upload to the Platform.
- No rights or licenses are granted to the Client beyond what is necessary for use of the Service under these Terms.
9. Limitation of Liability
To the maximum extent permitted by law, SurgeTalents shall not be liable for:
- Any indirect, incidental, or consequential damages;
- Loss of revenue, profit, data, or business opportunities;
- Issues resulting from third-party tools or integrations;
- Interruptions or delays in access to the Service.
10. Termination
- Either party may terminate the agreement with 30 days’ written notice.
- SurgeTalents may terminate access immediately if the Client breaches these Terms or any applicable law.
- Upon termination, data may be retained for up to 60 days, after which it will be deleted unless otherwise agreed.
- Any outstanding fees will remain payable upon termination.
11. Governing Law
These Terms are governed by and interpreted in accordance with the laws of the Republic of Singapore.
All disputes shall be subject to the exclusive jurisdiction of Singapore’s courts.
12. Amendments
SurgeTalents may update these Terms at any time.
Clients will be notified of changes via email or in-platform notifications. Continued use of the Service following such updates constitutes acceptance of the revised Terms.
